Terms of Service

License Grant & Usage Restrictions

Subject to payment of fees, we grant a non-exclusive, non-transferable license to access and use the DAM platform per the specified storage and user tier. Restrictions: no reverse engineering, no sublicensing, no use to store illegal content. Annual license includes patches and critical updates. Uptime SLA: 99.9% availability, excluding scheduled maintenance (monthly window, 2 hours).

Client Obligations & Data Sovereignty

You warrant that assets do not infringe third-party rights and you have all necessary clearances. You must configure access controls to comply with export control laws. Upon termination, we provide 30-day window to extract assets; thereafter, data is securely deleted (NIST 800-88 standard).

Limitation of Liability & Indemnification

Our liability for direct damages is capped at fees paid in the 12 months preceding the claim. No liability for indirect, consequential damages. You indemnify us against claims arising from your asset content or misuse of platform.

Governing Law & Dispute Resolution

These terms are governed by laws of New York, USA. Disputes subject to binding arbitration per JAMS rules. Class action waiver. If any provision is invalid, the rest remains.
